Practitioner Terms & Conditions

These Practitioner Terms & Conditions ("Terms") govern the arrangement between See Stella Pty Ltd, ABN 81 669 216 924 ("Stella", "we", "us") and the skin professional, clinic, or practice that confirms its details, claims or confirms a clinic profile, or otherwise participates in the Stella practitioner program ("you", "your clinic"). By confirming your details or submitting the claim form, you agree to these Terms on behalf of your clinic and confirm you are authorised to do so. Our handling of the clinic contact details you provide (or that we compiled from publicly available business information to create an unclaimed profile) is described in our Privacy Policy.
1. What Stella is (and is not)
1.1 Stella is a consumer application that helps a person record and compare the visible appearance of their skin in photographs they choose to take over time. Stella's reports and scores record and measure visible appearance in those photographs only ("appearance-level outputs"). They can be affected by lighting, camera, angle, and similar conditions. Any measurement Stella produces is a measurement of visible appearance in a photograph — not a measurement or evaluation of skin health or of any medical condition.
1.2 Stella is designed and supplied solely for personal, cosmetic self-observation. It has no medical or therapeutic intended purpose and, on that basis, is not a therapeutic good or medical device. Stella does not diagnose, monitor, treat, prevent, or predict any disease or medical condition, and its outputs must not be used for any of those purposes. Stella does not promote the application for any medical or therapeutic purpose, and no person is authorised to make any therapeutic claim about Stella.
1.3 Stella is a cosmetic product. It is not part of professional health care, and neither Stella nor its outputs may be presented as a clinical tool or as forming part of any professional assessment, advice, or treatment. Stella's outputs are cosmetic, appearance-level information only; they are not clinical information, and you must not represent them to any person as clinical information or as a basis for health-care advice. Stella provides no direction or recommendation concerning the care of any person.
2. Eligibility and authority
2.1 You confirm that you are a bona fide skin professional, clinic, or practice and that the person accepting these Terms is authorised to bind the clinic.
2.2 You are responsible for the accuracy of the clinic details you provide and for keeping them up to date.
2.3 If you or your staff are registered health practitioners, you confirm that the relevant registrations are current and that nothing in your participation will be presented as connected to your registration status.
3. The offer — clinic code and free access for your clients
3.1 On confirming your details, you will receive a clinic code. When a person enters a valid clinic code in the Stella app, that person receives free access to Stella's paid features for the period notified to you when that code was issued (the "Current Offer"; as at the date of these Terms, three (3) months). The free period does not auto-renew onto a paid plan: at the end of the free period, paid features end unless the person chooses to subscribe. This is explained to that person in the app before they redeem the code, and their use of Stella is governed by Stella's consumer terms — not by these Terms.
3.2 The code is offered to your clients, at your discretion. There is no cost to your clinic and no payment details are required from you.
3.3 The offer is a goodwill arrangement. Stella does not guarantee any particular number of sign-ups, and the code does not create any commission, referral fee, or revenue-share unless separately agreed in writing.
3.4 Stella may vary or withdraw the Current Offer in respect of codes issued in future, on at least 30 days' written notice. A variation does not affect any code already issued or already redeemed: the offer that applies to a code is the offer notified to you when that code was issued.
3.5 The clinic code is valid until the expiry date notified to you and shown on any Stella-supplied materials carrying that code. After that date the code can no longer be redeemed. While you participate in the program, Stella will supply replacement codes and materials on request at no charge.
4. Directory listing (optional)
4.1 A listing in Stella's practitioner directory is optional and only occurs if you expressly opt in. The directory has not yet launched; we will contact you before any of your details are made public.
4.2 A listing is not an endorsement, certification, accreditation, or recommendation by Stella of you or your clinic, and must not be represented as such. Likewise, you are not endorsed by, partnered with, or an agent of Stella.
4.3 You are responsible for the accuracy of any information displayed in your listing and may request changes or removal at any time by contacting us.
4.4 You are responsible for ensuring that your listing content, and any use you make of the listing, complies with the advertising rules that apply to you — including, if you are a registered health practitioner in Australia, section 133 of the Health Practitioner Regulation National Law and AHPRA's advertising guidance (including the prohibition on testimonials in advertising a regulated health service).
5. Complimentary flyers (optional)
5.1 If you request flyers, we will provide printed materials carrying your clinic code at no charge, subject to availability. Quantity selections help us gauge demand and are not a binding order by you.
5.2 You decide whether, when, and to whom you provide the flyers. You must not alter Stella's materials or make any representation about Stella that is inconsistent with these Terms or with Stella's cosmetic, appearance-level positioning described in clause 1. You are responsible for the manner of distribution complying with the rules that apply to you (see clause 4.4).
6. Your obligations
6.1 You will use the code, any listing, and any materials lawfully and will not make any false, misleading, or therapeutic claim about Stella — including any claim that Stella diagnoses, treats, or assesses a medical condition.
6.2 You will comply with all applicable advertising, consumer-protection, and health-practitioner advertising rules in your jurisdiction — including, in Australia, the National Law advertising requirements referred to in clause 4.4, and, in the United States, the FTC Act and the FTC Endorsement Guides.
6.3 If you promote or discuss Stella publicly (including on social media), you must clearly and conspicuously disclose that your clinic participates in the Stella practitioner program (for example: "Our clinic takes part in Stella's practitioner program and receives program materials at no charge").
7. Data and privacy
7.1 Stella does not receive, request, or require your client or patient list. Individuals choose to join Stella directly, create their own accounts, and control what (if anything) they share with you.
7.2 You remain solely responsible for your own handling of client information under applicable privacy laws. Our collection and handling of your clinic contact details is described in our Privacy Policy.
7.3 If you opt into the directory, the clinic details you approve for display are made public; you may request correction or removal at any time (clause 4.3).
8. Intellectual property
8.1 Stella's names, logos, and materials remain Stella's property. We grant you a limited, revocable, non-exclusive licence to use them only as needed to share the code and any Stella-provided materials, in accordance with these Terms. This licence ends automatically if you breach clause 1.3 or clause 6.
8.2 If you opt into the directory, you grant Stella a limited, revocable licence to display your clinic name, logo, and the details you provide for the purpose of the listing.
9. Disclaimers
9.1 Subject to clause 10.1, the program, code, listing, and materials are provided "as is". To the maximum extent permitted by law, Stella makes no representation or warranty about outcomes, results, bookings, leads, or revenue.
10. Consumer guarantees and limitation of liability
10.1 Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded (a "Non-excludable Right").
10.2 Subject to clause 10.1, and to the extent permitted by law, Stella's liability arising out of the program is limited to supplying the relevant services again or paying the cost of having them supplied again.
11. Term, changes, and termination
11.1 These Terms apply from when you confirm your details and continue until ended.
11.2 We may update these Terms by giving you at least 30 days' notice by email to your nominated address. If you do not agree to a change, you may end your participation at any time before it takes effect; codes already redeemed by your clients are unaffected.
11.3 Either party may end participation at any time on notice. Codes already redeemed by clients are not affected.
12. Governing law
12.1 These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of that State. If any provision of these Terms is unenforceable in a particular jurisdiction, it is severed for that jurisdiction only and the remainder continues in force.
